Long-Term Incentive Plan (the “LTIP”)
Arrow Global Group PLC announces that on 25 June 2020, it granted nil-cost options over its ordinary shares under the Arrow Global Group LTIP to the following directors and persons discharging managerial responsibility:

* No payment is required for the shares, which will vest on the third anniversary of the date of grant, subject to the achievement of performance targets measured over a three year period which commenced on 1 January 2020.
The Company’s Remuneration Committee has determined that, given the external environment, the underlying targets for the awards should not be set at this time. The Company will, however, seek to publish the proposed targets for the awards on the Company’s website no later than the end of November 2020.The intention remains that LTIP awards will be subject to underlying ROE, underlying FCF and relative TSR (equally weighted).
The grant of nil cost options has been made under the LTIP at a price of £0.9046 per share. Under the terms of the LTIP award, the Remuneration Committee has full discretion to ensure that the final outturn of the LTIP reflects all relevant factors, including consideration of any potential for windfall gains.

Arrow Global Group PLC announces that on 25 June 2020, it granted a restricted share award to the following person discharging managerial responsibility:
